These Terms of Service ("Terms") govern your access to and use of the TorcidaX Progressive Web Application (the "Service"), provided by [Your Company Name, e.g., Arapy Tech Inc.] ("we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

1. The Service

TorcidaX is a fan engagement platform where users can create a digital identity via an avatar, complete missions to earn "Points," and use those Points to acquire digital cosmetic items ("Digital Items").

• Avatars and Digital Items: Your initial avatar and all Digital Items you acquire are cryptographically unique digital assets recorded on our proprietary blockchain. In the initial phase of the Service ("Phase 1"), these assets are not freely transferable.
• Points: Points are a unit of account within the Service used to measure engagement and acquire Digital Items. They have no monetary value and cannot be exchanged for cash.

2. The Transition to Web3 ("The Big Reveal")

We plan to transition the Service to a more decentralized Web3 model ("Phase 2"). This transition will involve:

• $TORX Token: Your accumulated Points will be converted, at our discretion, into a cryptographic token named $TORX on a 1:1 basis.
• NFTs: Your Digital Items will become fully transferable Non-Fungible Tokens (NFTs) that you can trade or sell on a peer-to-peer marketplace.
• Self-Custody: You will be given the option to take full control of the cryptographic wallet associated with your account. You are solely responsible for the security of your private keys if you choose self-custody.

3. User Accounts

You are responsible for safeguarding your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Intellectual Property

The Service, including its text, graphics, logos, and software, is the property of [Your Company Name]. The digital representations of team apparel and other cultural references are artistic interpretations and are not endorsed by or affiliated with any official sports leagues or teams unless explicitly stated.

5. $TORX Token Presale

We may offer the $TORX token for sale in a presale event. The purchase of $TORX is subject to separate terms and conditions. $TORX is a utility token intended for use within the TorcidaX ecosystem. It is not an investment, and there is no expectation of profit. The value of $TORX can be volatile, and you could lose the entire value of your purchase.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities: (i) using automated scripts to collect information or otherwise interact with the Service (botting); (ii) attempting to interfere with or compromise the system integrity or security; (iii) engaging in any activity that is illegal or fraudulent.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

8. Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
